4. Intellectual Property Rights
All content, strategies, code, designs, methodologies, and intellectual property provided by AdWebNation Solutions remain the exclusive property of the Company and may not be copied, shared, or misused without prior written consent.

Client Content & Deliverables
You retain ownership of your business information, brand assets, and content provided to us. Upon full payment for project-based work, you receive ownership of the final deliverables (websites, apps, designs). However, underlying code frameworks, methodologies, and processes remain our property.

We reserve the right to:
- Use anonymized case studies and performance metrics for marketing
- Display completed projects in our portfolio (with your consent)
- Reference your company as a client (unless confidentiality is required)
- Reuse general methodologies and frameworks for other clients
5. Payment Terms
Service fees are non-refundable unless expressly stated otherwise in our Cancellation & Refunds Policy.
Payment Schedule
- Monthly Subscriptions: Charged in advance on the same date each month
- Project-Based Services: 50% upfront, 50% upon completion (or as agreed)
- Setup Fees: Due immediately upon service activation
- Additional Services: Invoiced separately as agreed
- Retainer Services: Monthly payment in advance
- Custom Development: Milestone-based payments as specified in proposal
Accepted Payment Methods
- Bank transfer / NEFT / RTGS / IMPS
- UPI payments
- Credit/Debit cards (processing fees may apply)
- PayPal, Stripe, Razorpay (for international clients)
Late Payment

Late payments may result in:
- Immediate service suspension or work stoppage
- Late fees of 2% per month on outstanding amounts
- Loss of access to deliverables until payment is received
- Collection agency involvement for severely overdue accounts
- Legal action for recovery of debts and associated costs
- Termination of services and contract
Price Changes
We reserve the right to modify pricing with 30 days' notice to existing clients. New pricing applies to renewals and new services only. Existing contracts remain at agreed rates until renewal.
6. Service Delivery & Performance
Service delivery timelines and performance expectations are communicated at the beginning of each engagement and may vary based on project scope, complexity, and client cooperation.
Delivery Standards
- Services provided during standard business hours (Monday-Friday, 10 AM-7 PM IST)
- Emergency support available for critical infrastructure issues (RDP/VPS clients)
- Regular reporting and updates as specified in service agreements
- Response to queries within 24-48 business hours
- Project milestones and deadlines communicated in advance
- Quality assurance testing before delivery
Client Dependencies
Service delivery timelines may be affected by:
- Client response times to requests for information or approvals
- Approval delays for designs, campaigns, or content
- Changes in business requirements or project scope
- Third-party platform limitations, downtime, or policy changes
- Availability of required access credentials or resources
- Force majeure events beyond our reasonable control
Scope Changes
Any changes to agreed project scope or services will require written approval and may incur additional costs and timeline adjustments.
7. Results Disclaimer
You acknowledge that results may vary depending on market conditions, competition, product quality, and other external factors beyond our control.

No Guarantee of Results
While we employ industry best practices, cutting-edge technologies, and data-driven strategies, we cannot guarantee specific outcomes, including but not limited to:
- Specific ROI, revenue increases, or profit margins
- Particular search engine ranking positions or traffic levels
- Conversion rate improvements or lead generation quantities
- Social media follower counts or engagement metrics
- App download numbers or user retention rates
- Sales volumes or customer acquisition costs
Our commitment is to deliver professional services, strategic expertise, and continuous optimization effortsβnot guaranteed specific outcomes.
8. Confidentiality
Both parties agree to maintain confidentiality of shared business data, proprietary information, and trade secrets.
Our Confidentiality Commitment
We agree to:
- Keep all client business information strictly confidential
- Use client data solely for authorized service delivery purposes
- Implement appropriate security measures to protect data
- Not disclose information to third parties without written consent
- Limit access to client information to authorized personnel only
- Comply with applicable data protection regulations
Client Confidentiality Obligations
You agree to:
- Keep our strategies, methodologies, and processes confidential
- Not share login credentials or system access with unauthorized parties
- Protect proprietary information and intellectual property provided by us
- Not use our trade secrets or methodologies for competitive purposes
- Not reverse engineer or attempt to copy our proprietary systems
- Maintain confidentiality even after termination of services
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no breach of this agreement
- Was known to the receiving party before disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
9. Termination
The Company reserves the right to suspend or terminate services in case of misuse, non-compliance, breach of this Agreement, or non-payment.
Termination by Client
- 30-day written notice required for monthly subscription services
- Immediate cancellation possible for project-based services (subject to completion stage)
- No refunds for current billing periods or completed work
- Final deliverables and documentation provided within 7 business days
- Access to dashboards and systems maintained until period end
- All outstanding invoices must be settled before termination
Termination by Company
π« Immediate Termination Grounds
We may immediately terminate services for:
- Non-payment of fees or repeated late payments
- Violation of advertising platform policies or terms
- Breach of these Terms and Conditions
- Illegal use of services or prohibited activities
- Fraudulent, deceptive, or unethical practices
- Abuse of our staff or failure to cooperate
- Unauthorized sharing of our intellectual property
- Activities that damage our reputation or business
Post-Termination
- All unpaid fees and outstanding amounts become immediately due
- Access to services, dashboards, and systems ceases immediately
- Confidentiality obligations remain in effect indefinitely
- Client data may be securely deleted after 30 days
- Licenses to use our platforms or tools are immediately revoked
- Work-in-progress is delivered at current completion stage
10. Limitation of Liability
The Company disclaims any liability for indirect, incidental, consequential, or punitive damages arising from the use of its services.

Our total liability is limited to:
- The total amount paid by you for services in the 12 months immediately preceding the claim
- Direct damages only (excluding indirect, consequential, special, or punitive damages)
- Claims must be made in writing within 12 months of the incident
- Maximum liability capped at βΉ1,00,000 (One Lakh Rupees) or equivalent in other currencies
Excluded Damages
We are not liable for:
- Lost profits, revenue, business opportunities, or contracts
- Data loss, corruption, or unauthorized access by third parties
- Third-party platform changes, restrictions, or account suspensions
- Market condition changes or economic downturns
- Competitor actions or industry disruptions
- Business interruption or operational delays
- Reputation damage or goodwill loss
- Actions of your employees, contractors, or third parties
Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, wars, riots, strikes, internet outages, or third-party service failures.
11. Disclaimers & Warranties
The Company provides all solutions on an "as is" and "as available" basis without warranties of any kind.
Disclaimer of Warranties
We disclaim all warranties, express or implied, including but not limited to:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party intellectual property rights
- Uninterrupted, error-free, or secure service operation
- Specific performance outcomes or result guarantees
- Accuracy, completeness, or reliability of information provided
- Compatibility with all systems, browsers, or devices
- Freedom from viruses, malware, or other harmful components

- Advertising standards and regulations (ASCI in India)
- Consumer protection laws and fair trading practices
- Industry-specific regulations and licensing requirements
- Tax laws and financial reporting requirements
- Intellectual property and copyright laws
Platform Policy Compliance
- Google Ads policies, terms, and editorial guidelines
- Facebook/Meta advertising policies and community standards
- LinkedIn advertising guidelines and professional standards
- Twitter/X ads policies and content rules
- App Store and Google Play Store guidelines (for mobile apps)
- Other relevant platform terms of service
Client Responsibility
You are solely responsible for ensuring your business, products, and services comply with all applicable laws and regulations. We reserve the right to refuse services that may violate laws or platform policies.
13. Dispute Resolution
Any disputes arising from these Terms shall be resolved through the following escalation process:
Step 1: Direct Communication

- Provide detailed written description of the issue
- Include relevant documentation and evidence
- Allow 7 business days for our response and resolution attempt
Step 2: Mediation
- If direct communication fails, disputes may be submitted to mediation
- Mediation costs shared equally between both parties
- Mediation to be conducted in Bareilly, Uttar Pradesh, India
- Good faith participation required from both parties
Step 3: Arbitration (Optional)
- Binding arbitration under Indian Arbitration and Conciliation Act, 1996
- Single arbitrator mutually agreed upon by both parties
- Arbitration proceedings in English language
- Venue: Bareilly, Uttar Pradesh, India
Step 4: Legal Action
- Any legal proceedings must be filed in courts of Bareilly, Uttar Pradesh, India
- Prevailing party entitled to recovery of attorney fees and costs
- Claims must be filed within 12 months of the incident giving rise to the claim
14. Modifications to Terms
We reserve the right to modify, update, or change these Terms at any time. Changes will be effective immediately upon posting to our website.
Notification of Changes

- Email notification to active clients for material changes
- "Last Updated" date revised at the top of this document
- 30-day notice period for significant changes affecting existing contracts
Acceptance of Changes
Continued use of our services after modifications constitutes acceptance of the new terms. If you do not agree to the modified terms, you must discontinue use of our services and notify us in writing.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Bareilly, Uttar Pradesh, India.

Jurisdiction
The courts of Bareilly, Uttar Pradesh, India shall have exclusive jurisdiction over any disputes arising from or related to these Terms, our services, or our relationship with you.
16. Miscellaneous Provisions
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
Entire Agreement
These Terms, together with our Privacy Policy, Cancellation & Refunds Policy, and any signed service agreements or proposals, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and communications.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time, including to affiliates or in connection with a merger, acquisition, or sale of assets.
Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative.

Relationship of Parties
The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, or employment relationship between the parties.
Survival
Provisions that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and dispute resolution) shall survive termination of these Terms.
